Companies Annual Report 2013

The Companies Report describes in summary form the main changes to the companies’ legislative code during 2013 and other developments in the area.

Key changes and developments highlighted in the Report include:

Companies (Miscellaneous Provisions ) Act 2013

This Act, signed by the President on 24 December, 2013, made amendments to various unrelated elements of the Companies Acts, in addition to amendments to the Bankruptcy Act 1988 and the Personal Insolvency Act 2012.

Friendly Societies and Industrial and Provident Societies (Miscellaneous Provisions) Bill 2013.

The Friendly Societies and Industrial and Provident Societies (Miscellaneous Provisions) Bill 2013 was published in the Seanad in July 2013 and passed by the Seanad in June 2014.

Companies Bill 2012

The Companies Bill 2012, which was published on 21st December 2012, commenced its passage through the Oireachtas in 2013, was passed by the Dáil in April 2014 and it is anticipated that the Bill will be enacted by the end of this year and will be commenced in June 2015.

Stock Exchange Report

The Irish Stock Exchange (ISE) reported to the Minister on its activities during 2013 as a competent authority in relation to insider dealing for the purpose of Part V of the Companies Act 1990 (‘the Act’)
